Metso is expanding the coverage of its flow control solutions with a distribution agreement with the Croatia-based company Eco Consult d.o.o. The agreement was signed in 2017, and orders have already been placed for refinery and geothermal projects.

The company operates particularly in Eastern Europe and already has a 13-year history of cooperation with Metso.

First orders received

The first order for control valves, received in Q1, was for a refinery expansion project in Russia. Eco Consult was able to offer Metso's comprehensive variety of valves, resulting in a one-stop-shop solution that saved time and resources for the customer. The order included Neles® globe and segment valves, all with Metso's actuator and ND positioner. Metso's Neles® standard and severe service globe valves are designed to operate at extreme pressures and temperatures.

The second order was received in Q2 for a geothermal project in Croatia for Neles® control valves, all in a high-alloy material that ensures corrosion resistance and very high mechanical strength.

The valves in a geothermal power plant must endure demanding process conditions, such as high pressure differences, flashing and silica scaling, and they must meet all safety requirements. Today, Metso has the widest product scope with an extensive pressure rating for the wellhead phase in the process.

Metso has received recognition for promoting safety at the worksites of Codelco and Anglo American in Chile. Metso has been able to improve the safety of operations at both sites by developing and implementing innovative safety enhancements. The award from Codelco and the written testimonial from Anglo American were received at customer-hosted events.

By utilizing a pre-formatted checklist, it evaluates the various conditions that must be controlled in field supervision, such as the application of risk control sheets and training of personnel involved. All this yields a supervision performance result to ensure proper implementation of controls and application of preventive measures.

Metso has signed a distribution agreement for its valve products with Process Control Equipment, PCE, to cover UK, Benelux and Spain. Under the non-exclusive agreement, PCE will add to its current portfolio of Metso's Neles and Jamesbury product families for all process industries in all countries. PCE has been distributing Metso's Jamesbury valves in the UK since 2012.

Metso has opened a new service center specialized in process valve and field equipment solutions in Poland. The center has a key role in supporting pulp and paper, refinery and petrochemical industry customers with daily services, shutdowns and long-term maintenance programs. This investment enables Metso to continue strengthening its unique flow control service model to support its customers' businesses.

Services are provided for Metso and third-party field devices, including valves, actuators and smart devices. metsoThe demand for Metso's in-depth shutdown knowledge and professional services has steadily grown over the past few years. In 2015, Metso was involved in over 100 shutdowns and turnarounds around the world at refineries, petrochemical, natural gas and biofuel plants as well as pulp mills. Customers increasingly count on Metso's service expertise, capability and scope of offering that includes tailored solutions related to shutdowns.

"A shutdown can be considered a strategic project for the plant, a way to manage its resources. Professional planning, efficient execution and on-time startup ensure safety as well as high plant availability and reliability until the next planned shutdown. We are constantly developing our valve service capabilities and service center network to increase our customers' productivity," points out Timo Hänninen, Vice President, Flow Control Services, Metso.

One of the recent major turnarounds in the oil and gas industry in which Metso participated during 2015 took place at Neste's Porvoo refinery in Finland. Metso's service solution for the turnaround consisted of valve maintenance planning, replacement equipment, maintenance and spare parts, as well as real-time project follow-up. In all, about 270 Metso valves were maintained during the shutdown, providing the customer with significant improvements for valve availability.

Good planning is key to success

Efficient shutdown execution and a smooth startup call for a well-planned shutdown scope, actions, materials and resources, and all these are determined through Metso's shutdown solutions. Valve maintenance planning for a turnaround project is always preceded by close cooperation between the customer and Metso. "It is the level of planning that determines the success of shutdown execution," Timo Hänninen says. "Having Metso as a partner for shutdown planning ensures the availability of the correct materials and resources, when needed. It minimizes risks, too."

For example, Metso's preparatory work for the turnaround activities at one of the largest oil refineries in Poland, the GRUPA LOTOS refinery in Gdansk, has been underway for years, although the shutdown will only take place in 2017.

To ensure the plant's safe operation until the next planned shutdown, Metso's experts carefully identify the equipment in need of upgrading, maintenance or replacement. This not only defines the shutdown scope and activities, but also determines the shutdown schedule and the needed resources and materials.

metso logo new oneThe Board of Directors of Metso has decided to continue the long-term share-based incentive plan for the Group's senior management, with a Performance Share Plan (PSP) as the main structure. In addition, the Board decided to continue the Restricted Share Plan (RSP) as a complementary share-based incentive structure for specific situations.

The aim of this long-term incentive plan is to align the interests of the management with those of the shareholders in order to increase the value of Metso and to commit the senior management to Metso by offering them a competitive long-term incentive plan in the company.

Performance Share Plan

The Performance Share Plan consists of annually commencing performance share plans, each with a three-year earning period. The commencement of each new plan will be subject to a separate approval by the Board. In accordance with the decision taken by the Board, PSP 2016-2018 will commence at the beginning of 2016 and potential share rewards will be delivered in the spring 2019 if the performance targets set by the Board are achieved.

The potential share reward payable under the PSP 2016-2018 is based on the total shareholder return of Metso's share during calendar years 2016-2018. The PSP 2016-2018 may include a maximum of 100 employees and will comprise a maximum of460,000reward shares (gross before the deduction of applicable payroll tax).

Restricted Share Plan

The complementary Restricted Share Plan (RSP) consists of annually commencing restricted share plans, each with a three-year vesting period after which the allocated share rewards will be delivered to the participants provided that their employment with Metso continues until the delivery date of the share rewards. The commencement of each new plan is subject to a separate approval by the Board. In accordance with the decision taken by the Board, RSP 2016 will commence at the beginning of 2016 and any potential share rewards will be delivered in the spring 2019.

The maximum number of shares that may be allocated and delivered within the RSP 2016 totals40,000shares (gross before the deduction of applicable payroll tax).

Other terms

Metso applies a share ownership recommendation policy for the members of Metso Executive Team. In accordance with this policy at least fifty per cent of the share rewards (net shares after the deduction of applicable payroll tax) received by these individuals under the above plans shall be retained until the share ownership of the individual participant in Metso amounts to his/her annual gross base salary. 

The incentive plans will have no diluting effect as no new shares will be issued in connection with them.

Metso will supply hundreds of valves for Kotkamills Oy's mill in Kotka, Finland, where the current printing paper machine will be rebuilt to produce high-quality and environmentally friendly consumer board grades. The new production line will be commissioned in the second quarter of 2016.

The production line conversion timetable is short, so proven project know-how and good experiences were important criteria for us when we selected the valve supplier," notes Jari Mäkelä, who is in charge of the machine conversion automation and electrification at Kotkamills.

The valve order includes Metso's Neles® ball control valves, segment valves, and Neldisc® disc valves for shut-off and control applications. The control valves are equipped with Metso's ND9000 series intelligent valve controllers, which can monitor valve performance and enable the planning of preventive maintenance.

The order was included in Metso's fourth quarter 2015 orders received. The value of the order is not disclosed. Metso's valve deliveries will start in early 2016.

Metso has signed a comprehensive framework agreement with Metsä Fibre to supply valve solutions for the world's first next-generation bioproduct mill in Äänekoski, Finland. Metso's valve solutions will be used in all of the mill's process phases. The delivery includes more than one thousand valves and peripheral devices and is one of Metso's largest valve orders in Finland. Metso also takes care of the spare part services for the mill.

Furthermore, to ensure best possible valve utilization rate Metso offers spare part inventory and maintenance services for the new mill. The service agreement is appended to the existing service agreement between Metsä Fibre and Metso.  

"Our valve production plant and our experts in Vantaa will play an important role in the manufacturing process of the new mill's products. We will use our global valve operations network in an optimal manner to offer competitive solutions to Metsä Fibre. The comprehensive valve maintenance services and our service center close to the customer ensure trouble-free production at the new mill," says Mika Sjöholm.  

The value of the framework agreement is not disclosed. Part of the order is included in Metso's fourth-quarter 2015 orders received with following quarter bookings during 2016. Metso's deliveries will start at the beginning of 2016, and the bioproduct mill will start its operations in the third quarter of 2017.

Metsä Fibre's, which belongs to Metsä Group, new bioproduct mill is the largest investment in Finnish forest industry history, with total value of EUR 1.2 billion. Upon completion, the new mill will be the world's first next-generation bioproduct mill. Pulp production at the Äänekoski mill in central Finland will increase to 1.3 million tons from the current approx. 0.5 million tons per year. The 1,700 square meter facility comprises a valve service center, Metso sales office and training facilities. The center is ideally located in the Gothenburg area close to the pulp & paper and oil & gas customers situated on the west coast of Sweden. It will also play a key role in supporting Södra Cell's Värö pulp mill expansion project.
