Changes to Metso's executive team

metso logo newTwo new appointments have been made to Metso's Executive Team. Perttu Louhiluoto has been appointed President, Services, and John Quinlivan has been appointed President, Flow Control. Both appointments will take effect immediately.

Perttu Louhiluoto (b. 1964) has been President of Metso's Flow Control business area and its preceding Automation segment since 2012. He has been with Metso since 2008. In his new position, Louhiluoto will be responsible for the Services business area, which offers Metso's customers in the mining and aggregates sectors comprehensive services ranging from spare and wear parts to process optimization solutions. Louhiluoto will work at Metso's Head Office in Helsinki, Finland.

"Perttu Louhiluoto has done a good job and has achieved good results in recent years in Automation and Flow Control, which has steadily grown and improved its profitability. In his new role he will ensure that the Services business continues make the big difference to its customers by offering the best solutions in the market. John Quinlivan (b. 1961) has held several management positions within Metso's Automation and Flow Control, since 1989.  Quinlivan works in Shrewsbury, Massachusetts, in the United States.

John Quinlivan is a result-oriented professional with long experience with our valve business and its markets, and I believe this will support his success in his new role. sod varoMetso has been chosen as the main supplier of valve solutions for Södra Cell's Värö pulp mill expansion in Sweden. The extensive valve delivery includes a total of about 700 ball, segment and butterfly valves for on-off and control applications from the Neles® and Jamesbury® product portfolios. The control valves are equipped with Neles® ND9000 series intelligent valve controllers, which have the capability for advanced performance follow-up. To enable good service levels for Södra Cell's pulp mill and other flow control customers in Sweden, Metso opens a new valve service center in the Gothenburg area. The new service center will be operational in autumn 2015.

The valve order for the plant was placed by Valmet, which operates as a major supplier of rebuilt and new equipment for the pulp mill expansion. On completion of the project, Värö will be one of the world's largest softwood sulphate pulp mills. The renewed pulp mill is scheduled to start up in the third quarter of 2016.

The value of the order is not disclosed. Part of this order is included in Metso's first-quarter 2015 orders received, and divided bookings will follow during the second and third quarters of 2015.

Metso will supply altogether hundreds of valves for Stora Enso's conversion of the Varkaus Mill fine paper machine in Finland to light-weight containerboard. In addition, Metso has carried out an installed base audit of its valves in the recycled fiber plant. The analysis ensures applicability and future performance of the valves in the rebuild. Metso also takes care of the spare part inventory services to the mill.

The valve  delivery contains Metso's Neles® ball valves, V-port segment valves and triple eccentric Neldisc® butterfly valves for on-off and control applications. The control valves are equipped with Metso's ND9000 series intelligent valve controllers, which have capability for advanced performance follow-up. They also allow predictive maintenance planning activities.

In the installed base audit of its valves conducted in the recycled fiber plant in Varkaus, Metso analyzed the applicability of the valves for the plant's process and  made recommendations for future maintenance needs. Properly scheduled maintenance activities with the spare part inventory services support mill availability, process performance and enhance risk control.

To guarantee effective services for the new mill, Metso will also strengthen its service presence in the Guangxi area. The consumer board machine is part of Stora Enso's integrated mill project being implemented in two phases in China.  

The value of the order is not disclosed. Part of this order is included in Metso's first-quarter 2015 orders received and divided bookings will follow during the remaining three quarters in 2015. Metso's deliveries will take place during 2015, and the consumer board machine is scheduled to be operational at the beginning of 2016.

metsoMetso is opening a new valve and field device service center in Querétaro, Mexico. The new service center offers the latest technology and know-how to carry out high-quality maintenance and repair work on Metso and third-party devices, such as valves, actuators and pumps. The service center's primary customer base consists of customers in the oil and gas, pulp and paper, and mining industries.

At the moment, Metso has 10 valve service centers and authorized repair facilities throughout the United States, Canada and Mexico. Of Metso's more than 90 service centers globally, over 40 of them serve flow control customers. In 2014, 60% of Metso's orders received came from the services business.

"Metso's installed base in Mexico has been growing over the years, so we want to strengthen our valve and field device service capability for the petrochemical, energy, oil and gas, mining, and pulp and paper industries. The new center is strategically located in an industrial area in Central Mexico within easy reach of the 35 largest customers served by our service and repair business," says Cliff Smith, Vice President, Services, Flow Control, North America market area.  

The facility will have ample storage capacity to keep an inventory of the most commonly required valve package components needed for emergency and scheduled repair and maintenance services. In addition to repair, spare parts, and refurbishment, the service center offers upgrades, training programs, field support and diagnostic services.

The service center personnel will be spending more time working directly with customers to help them better utilize the intelligence that is already present in Metso's flow control technology  currently installed in the plant. By taking advantage of these intelligent capabilities, customers can make more accurate and timely predictions of maintenance requirements as well as improve uptime and reduce operating costs.

"Our new facility will accommodate additional equipment and will enable us to expand our staff of factory-certified technicians to keep pace with the demand for Metso-authorized service, which carries the same warranty as new Metso flow control products. The new and modern service center also puts us in a better position to stage, test and repair large numbers of valves to meet our customers' high-volume, fast-turnaround repair and service needs during scheduled plant shutdowns," summarizes Smith.

Realignment relates to companies in Switzerland and Finland

endressThe Endress+Hauser Group and Metso Automation Inc. are to restructure their sales and service activities in Switzerland and Finland with effect from 1 July 2015. Both groups of companies will demerge their mutual minority shareholdings in the respective entities and establish their own dedicated sales and service organizations to serve their customers.

Based on the strong market positions achieved over the past years in both the Swiss and Finnish marketplaces, Endress+Hauser and Metso undertake to continue to serve their customers with their own sales and service networks. Both sides have agreed to continue to cooperate closely with the aim of making the transfer of activities as easy and smooth as possible for their customers.

In Switzerland the minority shareholding of Metso Automation Inc. in Endress+Hauser Metso AG will be transferred to Endress+Hauser by 1 July 2015. The sales and service company will be renamed Endress+Hauser (Schweiz) AG and focus solely on Endress+Hauser’s offering for the process industry. Metso will continue to serve the Swiss market with its valve and pump offering.

Endress+Hauser’s sales and service activities in Finland will move into a new company with the name Endress+Hauser (Finland) Oy by 1 July 2015. This company will act as Endress+Hauser’s sole representation in the country. Metso will focus on sales and service of Metso’s flow control solutions to oil & gas, pulp & paper, mining and other process industries. The minority ownership of Endress+
Hauser (International) Holding AG in the current Metso Endress+Hauser Oy will be transferred to Metso.

Based on its new strategy, communicated in 2014, Metso will continue its transformation to a more focused industrial company with three business areas — Minerals, Aggregates and Flow Control — serving customers in the mining, aggregates and oil & gas industries. metsoThe Board of Directors of Metso has decided on a new long-term share-based incentive plan for the Group's senior management, with a Performance Share Plan (PSP) as the main structure. In addition, the Board decided to establish a Restricted Share Plan (RSP) as a complementary share-based incentive structure for specific situations. The aim of this long-term incentive plan is to align the interests of the management with those of the shareholders in order to increase the value of Metso and to commit the senior management to Metso by offering them a competitive long-term incentive plan in the company.

Performance Share Plan

The Performance Share Plan consists of annually commencing performance share plans, each with a three-year earning period. The commencement of each new plan will be subject to a separate approval by the Board. The first plan (PSP 2015) will commence at the beginning of 2015 and potential share rewards will be delivered in the spring 2018 if the performance targets set by the Board are achieved.

The potential share reward payable under the PSP 2015 is based on the total shareholder return of Metso's share during 2015-2017. The PSP 2015 may include a maximum of approximately 100 employees and will comprise a maximum of 400,000 reward shares (gross before the deduction of applicable payroll tax).

Restricted Share Plan

The complementary Restricted Share Plan (RSP) consists of annually commencing restricted share plans, each with a three-year vesting period after which the allocated share rewards will be delivered to the participants provided that their employment with Metso continues until the delivery date of the share rewards. The commencement of each new plan is subject to a separate approval by the Board. The first plan (RSP 2015) will commence at the beginning of 2015 and any potential share rewards will be delivered in the spring 2018.

The maximum number of shares that may be allocated and delivered within the RSP 2015 totals 40,000 shares (gross before the deduction of applicable payroll tax).

Other terms

Metso applies a share ownership recommendation policy for the members of Metso Executive Team. In accordance with this policy at least fifty per cent of the share rewards (net shares after the deduction of applicable payroll tax) received by these individuals under the above plans shall be retained until the share ownership of the individual participant in Metso amounts to his/her annual gross base salary. 

The incentive plans will have no diluting effect as no new shares will be issued in connection with them.

Metso will supply several thousand valves with accessories and spare parts for PT OKI Pulp & Paper Mills, located in Southern Sumatra, Indonesia. The order is Metso's largest ever flow control products delivery for a pulp and paper industry customer. When commissioned during 2016, the new plant will be the biggest single pulp plant in the world.
